These Terms of Service ("Terms") govern your access to and use of the TruckerIntelligence™ website located at https://truckerintelligence.com (the "Website") and your purchase of TruckerIntelligence software licenses (the "Product") from Reinart Management LLC, a Wisconsin limited liability company, doing business as TruckerIntelligence ("TruckerIntelligence", "we", "us", or "our").
By accessing or using the Website, submitting information through the Website, or clicking "Purchase", "Subscribe", or a similar button during checkout, you agree to be bound by these Terms.
1.1 Eligibility. You must be at least 18 years old to use the Website or make a purchase. By making a purchase or clicking "Purchase," "Subscribe," or a similar button, you represent that you are acting on behalf of a business organization and that you have authority to bind that organization to these Terms and to the TruckerIntelligence End User License Agreement ("EULA"). You agree that such action constitutes your electronic signature and manifests your intent to be legally bound by these Terms and the EULA, and you waive any right to challenge the validity of these Terms based on their electronic form.
1.2 License to Use Website. We grant you a limited, non-exclusive, revocable license to access and use the Website for informational purposes and to evaluate and purchase our products. We reserve all other rights.

1.4 Privacy Policy. Your use of the Website and your purchase of the Product are also subject to our Privacy Policy, which describes how we collect and use information. The Privacy Policy is available at truckerintelligence.com/privacy (or its successor URL).
All content on the Website, including text, graphics, logos, designs, and the "TruckerIntelligence" name and related trademarks, is the exclusive property of TruckerIntelligence and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license in Section 1.2, these Terms do not grant you any rights in or to the Website or its content.
3.1 Product. Through the Website and our Stripe checkout, you may purchase licenses to use the TruckerIntelligence desktop software application and its associated data (the "Product").
3.2 Software License and EULA. Your installation and use of the Product are governed by the TruckerIntelligence End User License Agreement ("EULA"), available at truckerintelligence.com/eula (or its successor URL). You must accept the EULA before installing or using the Product. If there is any conflict between these Terms and the EULA regarding your rights to use the Product, the EULA will control.
3.3 Payment Processing. We use Stripe, Inc. ("Stripe") to process payments. When you submit an order, you authorize Stripe to charge your selected payment method for the full amount shown, including any applicable taxes. Stripe's terms and privacy policy govern its handling of your payment information. We do not store your full payment card number or card security code on our systems.
3.4 Information You Provide. At checkout you agree to provide accurate billing and business contact information, which may include your name, company name, billing address, email address, phone number, and any additional business contact details requested for license assignment (for example, user email addresses for multiple seats) and optional purchase order numbers. We rely on this information to process your order, deliver license keys, and provide support.
3.5 Taxes. Prices displayed on the Website are in U.S. Dollars and, unless stated otherwise, do not include applicable taxes. Stripe will calculate and collect applicable taxes during checkout based on the billing information you provide.
3.6 Refunds. All sales are final. Because the Product is a digital license with access to curated data, we do not offer refunds once a license key has been issued, except where a refund is required by applicable law. Please carefully review the Product description and any materials provided before purchasing.
3.7 Delivery. Upon successful payment, Licensor initiates a manual compilation process to generate a custom Product instance containing the most recent data snapshot. Please allow up to 24 hours for this process. A secure download link (hosted via Cloudflare) and your unique license key will be delivered to the email address provided in your order. You are responsible for distributing license keys internally to your authorized personnel in accordance with the EULA.
3.8 Right to Refuse Sale. Licensor reserves the right, at its sole discretion, to refuse the sale of a Product license or the provision of support to any individual or entity for any reason. This includes, but is not limited to, refusing sales to known competitors of the Licensor or its affiliates, or any party that Licensor deems to have a conflict of interest with its business operations. All orders are subject to manual review and verification prior to license issuance.
By submitting information through any waitlist, demo request, contact form, or similar feature on the Website (including forms hosted by third-party providers such as Netlify), you consent to us using the contact details you provide to respond to your inquiry and to contact you about our products and services, as described in our Privacy Policy.
THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
ANY DESCRIPTIONS OR SUMMARIES OF THE PRODUCT ON THE WEBSITE ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY. THE PRODUCT ITSELF IS GOVERNED BY THE EULA.
TO THE FULLEST EXTENT PERMITTED BY LAW, TRUCKERINTELLIGENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE, OR YOUR PURCHASE OF THE PRODUCT THROUGH THE WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US THROUGH THE WEBSITE FOR THE PRODUCT GIVING RISE TO THE CLAIM. ANY LIMITATION OF LIABILITY RELATING TO THE PRODUCT ITSELF IS FURTHER LIMITED BY, AND SUBJECT TO, THE EULA.
You agree to indemnify, defend, and hold harmless TruckerIntelligence, its members, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Website; or (c) any content or information you submit through the Website.
This Agreement is governed by the laws of the State of Wisconsin, without regard to its conflict of laws principles. All legal actions arising out of or relating to this Agreement must be brought exclusively in the state or federal courts located in Brown County, Wisconsin. Licensee consents to the personal jurisdiction of such courts and waives any objection to venue. In the event of any breach of this Agreement by Licensee, Licensee agrees to reimburse Licensor for all reasonable attorney’s fees, court costs, and related expenses incurred by Licensor in enforcing its rights or collecting payment hereunder.
If any provision of these Terms is deemed invalid, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. No waiver of any breach of these Terms shall constitute a waiver of any prior, concurrent, or subsequent breach.
We may update or modify these Terms from time to time. When we do, we will revise the Effective Date at the top of this page. Your continued use of the Website after any change becomes effective means you accept the updated Terms.
